Corporate Legal Counsel
We are looking for a Corporate Legal Counsel to join our Legal, Compliance and M&A team in Hoofddorp (NL).
SHV Energy distributes LPG to around 26 million customers across 21 countries across 4 continent and is one of the largest players in the global energy-distribution market. We are also building the next chapter: bioLPG, rDME and other renewable liquid gases that let off-grid customers decarbonise.
The position
As Corporate Legal Counsel of SHV Energy, you will be based at the global head office in Hoofddorp and provide legal support to the Management Board, General Counsel and various global staff departments. The role reports to SHV Energy’s General Counsel with regular exposure to the SHV Energy Management Board. You will provide broad, practical and business-oriented legal advice, with a focus on corporate law, commercial contracting and compliance matters. The position also includes corporate governance and the coordination of external counsel across multiple jurisdictions. You will need strong business acumen, sound judgement, clear communication skills and the ability to operate effectively in a multicultural and multi-jurisdictional environment. Fluent in Dutch and English.

The high level key activities of this role are:
This is a broad, generalist corporate role in a small central legal team.
Corporate and commercial work. Drafting and negotiating international commercial contracts — sales, procurement, intercompany. Powers of attorney, LOIs, NDAs, corporate approvals, transaction documentation.
Group governance. Owning the corporate governance for SHV Energy N.V and providing support across our entity structure: statutory actions, board and shareholder approvals, document execution, and the incorporation, merger, liquidation or wind-down of entities in a wide range of jurisdictions. This is supported by external firms.
Advising global functions. Ethics & Compliance, Finance, Treasury, Global Procurement, and our Sustainable Fuels & Renewables team on commercial, corporate and project matters.
M&A. Supporting our M&A team through acquisitions, divestments and JVs across our footprint.
Skills and competencies
Comfortable being the person who decides, in a business with real operational and safety exposure, where the answer is not in a precedent.
Team player who is also able to work independently and take ownership and initiative.
Strong analytical skills and the ability to translate complex legal issues into clear, practical advice. Able to balance short-term business needs with the long-term interests of the company.
Flexible and willing to travel when required.
Job requirements
What we are looking for:
A Dutch law degree, preferably followed by the Beroepsopleiding voor Advocaten.
Around six years of relevant legal experience, including time at a leading corporate law practice, ideally combined with in-house experience in an international corporate group.
Strong Dutch corporate law (vennootschapsrecht) grounding and a track record of drafting and negotiating commercial and corporate documentation.
Experience with legal aspects of M&A is an advantage.
Fluent in English and Dutch. Dutch is required for this role because of notarial deeds, and Dutch-language legal documentation.

Depending on background and experience, a base salary (including holiday allowance) that ranges between € 95.953,- (80%) and € 143.929,- (120%).
